Board of Directors - Overview

 

For residents interested in serving our community

 

The Board of Directors consists of three equal positions: President, Secretary, and Treasurer.
Although each position has unique responsibilities, all Board members share equal voting power, and all decisions require a majority vote. No one position has authority over another. Together, the Board guides the direction of the community and ensures that the Association operates smoothly, transparently, and in the best interest of all homeowners.

This overview summarizes each role by combining requirements from our Bylaws with additional Gates-at-Bouldercrest–specific expectations.


General Requirements for All Board Members

All Board members must:

  • Be a Unit Owner, spouse, or cohabitant.
  • Reside in the community during service.
  • Be current on HOA assessments (not more than 60 days delinquent).
  • Not serve at the same time as a spouse, cohabitant, or co-owner of their unit.
  • Be elected for a two-year term, with a limit of three consecutive terms.

Time Commitment (Important to Consider Before Running)

Serving on the Board requires a significant ongoing commitment, including:

  • Meetings at least every other week ( typically in the evenings or weekend).
  • Daily or near-daily communication in a shared Board group chat for quick decisions.
  • Reviewing a high volume of emails from residents, vendors, and the property manager.
  • Responding quickly to time-sensitive issues (maintenance requests, enforcement matters, safety concerns, financial questions, legal matters).
  • Hands-on project oversight, walking the property regularly, and meeting with vendors as needed.

Most Board members spend 5–10 hours per week, sometimes more during projects or budget season.

This is a serious leadership role—rewarding, but not light-duty.


Technology Used by the Board

Board members regularly use:

  • AMG Property Management Portal – financials, violations, invoices, reports
  • Parking Attendant – guest registration oversight, enforcement coordination
  • Gate/Camera system tools – access control data, vendor coordination
  • Email – resident communications, vendor correspondence
  • Shared group chat – rapid decision-making for day-to-day operations
  • Document review tools – bylaws, declaration, rules and regulations, contracts, proposals, and policies

Basic comfort with digital tools is required.

Board of Directors - Responsibilities

President

 

Formal Responsibilities

  • Acts as the Association’s chief executive officer.
  • Presides over all Board and member meetings.
  • Appoints committees as needed to support Association operations.
  • Works within the authority granted to all Board members equally.

Community-Specific Responsibilities

  • Helps guide and coordinate major projects (landscaping, infrastructure, parking, gate systems).
  • Works closely with the secretary and treasurer to ensure smooth communication and compliance.
  • Acts as a primary point of contact with the management company.

Desired Skills or Experience

  • Leadership or team-management experience
  • Comfort leading meetings and facilitating discussion
  • Strong communication and diplomacy skills
  • Ability to interpret governing documents and apply policies fairly
  • Professional experience in project management, business leadership, or community organizing is helpful but not required

Secretary

 

Formal Responsibilities

  • Keeps minutes for all Board and membership meetings.
  • Maintains official documents and records of the Association.
  • Ensures proper notice of meetings is provided.
  • Performs duties typical of a corporate secretary under Georgia law.

Community-Specific Responsibilities

  • Maintains organized digital archives (minutes, agendas, resolutions).
  • Prepares community communications (meeting notices, updates, ballots).
  • Coordinates with the property manager on information flow and homeowner requests.
  • Helps track ongoing issues, timelines, and follow-up items.

Desired Skills or Experience

  • Strong writing and documentation skills
  • Attention to detail and organization
  • Ability to maintain accurate, accessible records
  • Comfort with digital tools and document storage platforms
  • Helpful backgrounds: administrative support, legal, communications, or office management

Treasurer

 

Formal Responsibilities

  • Has responsibility for Association funds and financial records.
  • Prepares financial statements and ensures proper deposits.
  • Oversees the annual budget preparation.
  • Coordinates with the management company on accounting tasks.

Community-Specific Responsibilities

  • Reviews monthly financials, expenditures, and bank reconciliations.
  • Monitors delinquencies and works with management on collections.
  • Helps oversee major project budgets and reserve planning.
  • Ensures transparent financial communication to the Board and residents.

Desired Skills or Experience

  • Basic understanding of budgeting and financial reports
  • Comfort reviewing spreadsheets, invoices, and statements
  • Analytical skills and attention to detail
  • Experience in accounting, finance, bookkeeping, business operations or having access to someone with relative experience to serve on the financial committee is helpful but not required

Equal Authority Among All Board Members

 

While each officer has distinct responsibilities, the Board operates as a three-person leadership team, and:

  • All directors have equal authority.
  • No position outranks the others in voting power.
  • Decisions are made by majority vote.
  • The President facilitates meetings but does not have greater decision-making authority than the Secretary or Treasurer.
  • All members help shape policy, enforcement, budgeting, projects, and long-term planning.
